Business Structure Snapshot

Which Direction May Fit Your Needs?

No structure is best for everyone. Ownership, risk, taxes, financing, administration, succession, and state law should all inform the decision.

Sole Proprietorship

May fit: testing a low-risk, one-owner activity.

Advantages

Simple formation, direct control, and fewer entity formalities.

Limitations

No separate business entity; personal and business assets and liabilities are not separated.

Limited Liability Company

May fit: owners seeking flexibility and a state-law entity.

Advantages

Flexible ownership and several possible federal tax classifications.

Limitations

State fees and rules vary; formalities, insurance, and professional advice still matter.

C Corporation

May fit: businesses planning for stock ownership or outside investment.

Advantages

Separate taxpaying entity and an ownership structure designed around shares.

Limitations

More governance and administration; entity and shareholder tax consequences require review.

S Corporation Election

May fit: eligible owners evaluating pass-through federal taxation.

Advantages

Eligible entities may pass certain federal income items through to shareholders.

Limitations

Eligibility, election deadlines, payroll, compensation, and shareholder rules can be complex.

Educational resources and document-preparation support do not replace state-specific legal or tax advice. Clients should obtain independent professional review whenever their circumstances, jurisdiction, asset structure, or requested provisions require licensed judgment. Legacy-AI Consulting LLC does not provide legal, tax, financial, investment, or insurance advice.

Experience That Protects and Builds

Protect What You’ve Built. Structure What Comes Next.

Legacy AI Consulting was founded by Richard E. Floyd, Jr. to help organizations and families sharpen their focus on two essential priorities: sustainable business development and the protection of family wealth.

Richard’s documented experience includes business-formation and administrative support beginning in 1996, refinery audit, investigation, process-leadership, and scheduling work from 2009 through 2020, and leadership of Legacy-AI Consulting since January 2023. That experience informs a practical, process-focused approach to helping families and business owners organize information for qualified professional review.

His business-development experience includes helping launch numerous LLCs and corporations and supporting entrepreneurs across the United States. Each engagement is organized around the client’s state-specific incorporation or estate-planning requirements. When a matter requires licensed legal, tax, financial, or other professional judgment, clients are encouraged to obtain appropriate review in the applicable state.

Richard also brings decades of leadership in operations, employee training, process improvement, customer service, and technology-supported problem-solving. Every engagement begins with listening, respects the client’s purpose, and is explained in clear, understandable language.

A Personal CommitmentRead Why Legacy Matters to Me

I first understood the importance of estate planning when I lost my grandmother—the woman who raised my brother, my sister, and me. She often told us that the family home would one day pass to us. It was more than a house. We were born and raised there, completed our chores there, and learned to love every part of it—from the loose boards to the pipes that sometimes burst.

When she passed, other family members asserted claims because her wishes had not been fully protected. In the middle of our grief, we chose not to fight and walked away. I made a decision then: that would never be my situation again, nor the situation of the people I love. I learned, prepared, and protected. Today, my mission is to help other families avoid that same experience—because honoring a person’s wishes is one way we honor their life.

Family is my life. As a father of six, I believe preparation is one of the ways we show up for the people we love, even when doing so is difficult. My faith has taught me to keep learning, keep building, and remain committed to service. Helping people access guidance they may not otherwise believe they can afford is part of my purpose and one of the ways I express love.

When clients work with me, I want them to know that I am as invested in their goals and dreams as they are. Their plans matter. Their families matter. Their businesses matter. We do the work together, and we celebrate progress together. I hope my legacy will be a company that made life a little easier during difficult moments, helped people overcome the fear of building their dream business, and gave families a clearer way to put their wishes on paper.

Frequently Asked Questions

Clear Answers Before You Begin.

Review the most common questions about consultations, professional scope, engagement details, and continuing support.

What happens during the initial consultation?

We begin by listening to your goals, concerns, current situation, and desired outcome. The consultation helps identify the appropriate service, information you may need to gather, and whether coordination with a licensed attorney, CPA, tax professional, financial professional, or other specialist is appropriate.

How are engagement and payment details provided?

After the preliminary consultation, Legacy AI Consulting provides applicable scope and payment details privately. No work begins until the parties confirm the engagement in writing.

What does Trust & Estate Planning support include?

Legacy-AI Consulting provides estate-planning education, information organization, administrative support, and coordination with licensed professionals. Support may include goal clarification, document and asset-information organization, execution and notarization checklists, and trust-funding information organization. Any legal-document assembly requires a clearly defined engagement and the exact written authorization of qualified state counsel.

Does Legacy AI Consulting provide legal or tax advice?

No. Legacy-AI Consulting LLC is not a law firm, accounting firm, financial advisory firm, or insurance agency. We provide estate-planning education, information organization, administrative support, and coordination with licensed professionals. Any legal-document assembly requires a clearly defined engagement and the exact written authorization of qualified state counsel. Documents are not represented as attorney-reviewed unless a licensed attorney separately reviews them. A notary verifies identity and signatures and performs the required notarial act; notarization alone does not determine a document’s legal sufficiency or fund a trust. Clients remain responsible for proper execution, asset transfers, and obtaining licensed legal, tax, accounting, investment, financial, or insurance advice when needed.

What is included in Business Incorporation support?

We help entrepreneurs organize formation information, understand administrative steps, prepare business-development workflows, and coordinate the filing process described in the engagement. Government registration charges, registered-agent fees, licenses, permits, and third-party professional fees remain separate unless stated in writing.

What does Legacy Leadership membership include?

Legacy Leadership provides continuing administrative support for qualifying Trust & Estate Planning and Business Incorporation clients. It includes ongoing guidance within the agreed scope and one qualifying administrative addendum each membership year. Legal review, state filings, taxes, and third-party professional work may require separate engagement terms.

Do you serve clients throughout the United States?

General virtual consultation, education, information organization, and administrative support may be available nationwide. Nine active state-specific estate-planning pathways are available in Mississippi, California, Louisiana, Alabama, Florida, Illinois, Texas, Georgia, and Arizona. Complete Single-Person and Married-Couple document packages have been accepted by Legacy AI Consulting for the active program and are prepared for thorough attorney review. Client-specific legal decisions, execution instructions, and document release remain attorney governed. Additional state pathways remain in development. Availability, professional-review requirements, filing procedures, execution formalities, and permitted scope vary by jurisdiction.

What information should I prepare before scheduling?

Begin with your goals, existing documents, important people or decision-makers, general asset or business categories, ownership information, and questions. Do not email Social Security numbers, complete account numbers, passwords, medical records, or other highly sensitive information unless a secure process is specifically provided.
